I have to resize a pic to make it less than 125K, 72dpi and less than 640x480

how do i go about doing this...when i do the 640x480 it is still bigger than 125K and if i just keep halfing it down the pic is soooooo small....is that right???

when you save, you should be able to adjust the JPG compression. That will affect the file size in a major way, but will not change/affect the 640x480 nor the dpi.
